1. Definitions

Term	Meaning
“Agreement”	This End User License Agreement, including all amendments and any License Tier-specific terms that apply to your purchase. This Agreement is read together with the Terms of Sale.
“Product”	The QMS Made Easy Book or the QMS Made Easy Tool Kit, whichever you purchased, together with all text, templates, appendices, diagrams, sample documents, updates, and supplementary digital files provided with it. See Section 5.2 for the title, author, and ISBN of each.
“Licensor”	GlenView Group, Inc., a California corporation located in Malibu, California. Contact: info@glenviewgroup.com.
“Licensee” / “you”	The individual or entity that purchases and uses the Product under the terms of this Agreement.
“License Tier”	The license level purchased — either the Book License ($25) or the Tool Kit License ($949) — each with distinct rights as described in Section 2.
“Book License”	The $25 license to the QMS Made Easy Book — QMS Made Easy: A Practical Guide to Understanding and Implementing ISO 9001:2026 (eBook, ISBN 9798997920517) — delivered as a single, one-time download to one Authorized User. The Book License does not include the Process Library, the QMS Template Library, or a customer account.
“Tool Kit License”	The $949 license to the QMS Made Easy Tool Kit — QMS Made Easy: Your Step-by-Step Guide to Implementing ISO 9001:2026 (eBook, ISBN 979-8-9979205-0-0), the Process Library, and the QMS Template Library (60+ document templates) — with customer account access and twelve (12) months of template updates, for use by one Licensed Organization at one Licensed Site.
“Authorized User”	Under the Book License, the single individual who purchases the Product, whose rights are limited to the one download occasion described in Section 3.2. Under the Tool Kit License, the employees and contractors of the Licensed Organization who work on its Quality Management System at the Licensed Site. The License is non-transferable. Use beyond these users requires a separate license under Section 6.
“Licensed Organization” / “Licensed Site”	For the Tool Kit License, the single legal entity named at purchase (or on whose behalf the purchase is made) and the single physical site of that entity whose Quality Management System the Tool Kit is used to build and maintain.
“Terms of Sale”	The GlenView Group Terms of Sale for QMS Made Easy, which govern price, payment, delivery, refunds, and the 100% guarantees, and are available at glenviewgroup.com.
“Templates”	All document templates, forms, checklists, procedures, and sample documents included in the QMS Template Library provided with the Tool Kit.
“Process Library”	The companion PDF document titled “Process Library — Examples & Samples” provided with the Tool Kit, containing annotated sample QMS documents.
“Derivative Work”	Any work that is based upon, incorporates, or adapts the Product or any portion thereof, including translated, condensed, expanded, abridged, or revised versions.
“Commercial Use”	Any use of the Product or its contents for financial gain, including but not limited to resale, redistribution, incorporation into paid consulting deliverables, training materials sold to others, or online courses.
“Download Event”	A recorded instance of a Licensee successfully retrieving Product file(s) from GlenView Group’s delivery system or customer account, as captured in GlenView Group’s download tracking records.

2. License Tiers and Grant of Rights

2.1 What You Are Purchasing

When you purchase the Product, you are purchasing a limited, non-exclusive, non-transferable license to use the Product for internal purposes — personal use for the Book License, and use within the Licensed Organization at the Licensed Site for the Tool Kit License. You are not purchasing ownership of the Product, the copyright in the Product, or any intellectual property rights associated with it. GlenView Group retains all ownership and intellectual property rights at all times.

Your specific rights depend on the License Tier you purchased at checkout. Both tiers are described in full below.

2.2 Permitted Uses

Subject to full compliance with this Agreement and the terms of your License Tier, GlenView Group grants you the following rights:

• Read and reference the Product on devices used by Authorized Users for internal use.
• Tool Kit License: use the Templates and Process Library to build, document, implement, and maintain a Quality Management System for the Licensed Organization at the Licensed Site, including storing adapted Templates in the organization’s internal document control system.
• Print one (1) copy of the Book you purchased for reference. Tool Kit License holders may also print Templates and adapted documents as needed for internal QMS use at the Licensed Site.
• Save the Product to devices or secure storage controlled by you (Book License) or by the Licensed Organization (Tool Kit License), provided it is not accessible to anyone other than Authorized Users.
• Tool Kit License: access and re-download files from your customer account as described in Section 3.4.

3. Download Tracking and Delivery

3.1 Download Tracking

GlenView Group electronically records all Download Events associated with each purchase. Our delivery system logs the date, time, IP address, and delivery confirmation status of each download attempt. This record constitutes GlenView Group’s official record of whether a download was successfully completed.

By completing your purchase, you acknowledge and consent to this download tracking as a condition of receiving access to the Product.

3.2 Book License — One-Time Download Policy

The Book License entitles you to a single download occasion. Once a Download Event is recorded as successful in GlenView Group’s system, your download right under this License is fulfilled and no further downloads will be made available under the Book License, except under the exception in Section 3.3.

We strongly recommend the following steps immediately after purchase:

• Do not click the download link until you are on a stable internet connection and on the device where you intend to store your file.
• Save the file to at least two locations (e.g., your local hard drive and a personal cloud storage account such as Google Drive, Dropbox, or OneDrive) immediately after downloading.
• Do not close your browser or interrupt the download once it has begun.
• Verify that the file is readable and complete before closing the download session.

3.3 Book License — Exception for Failed or Unconfirmed Delivery

GlenView Group recognizes that technical failures can occur. If your download did not complete successfully, and GlenView Group’s records do not show a confirmed successful Download Event for your purchase, we will grant one (1) additional download opportunity at no charge.

To request a re-download under this exception, you must:

• Contact GlenView Group at info@glenviewgroup.com within seven (7) calendar days of your purchase date.
• Include your full name, the email address used at checkout, your order confirmation number, and a description of the technical issue encountered.
• GlenView Group will review its download records and respond within two (2) business days.

Important: If GlenView Group’s system records show that a download was completed — even if you did not save the file — GlenView Group is not obligated to provide a replacement download under the Book License. This policy reflects the nature of the Book License as a one-time-download product. If you require ongoing access and the ability to re-download at any time, please consider the QMS Made Easy Tool Kit.

3.4 Tool Kit License — Customer Account Access

The Tool Kit License includes a customer account from which you may download all Tool Kit files. You may re-download any file as many times as needed while your account is active, and you will receive updates released during the twelve (12) months following your purchase date. If you experience access or download issues at any time, contact info@glenviewgroup.com and we will resolve the issue promptly.

3.5 Tool Kit License — Continued Account Access

GlenView Group intends to maintain customer account access for the Tool Kit. If GlenView Group decides to discontinue account download access, it will give at least thirty (30) days’ notice by email so you can download your files. Discontinuing account access does not end your license to use files already downloaded.

3.6 Corrupted or Defective Files

If any file you received is corrupted, incomplete, or unreadable, contact GlenView Group within seven (7) calendar days of the Download Event. We will provide a replacement file at no charge. This applies to both License Tiers. A corrupted file claim does not constitute an additional download occasion under the Book License — it is a file-integrity remedy.

4. Restrictions — What You May NOT Do

The following activities are strictly prohibited without prior written authorization from GlenView Group, Inc. Violation of any restriction constitutes a material breach of this Agreement and may result in immediate termination of your License, legal action, and claims for damages. These restrictions apply to both License Tiers equally unless otherwise noted.

4.1 No Copying or Reproduction

• You may not copy, duplicate, reproduce, or replicate the Product or any portion of it in any format or medium, whether digital, print, or otherwise, except as permitted under Section 2.2.
• You may not scan, photograph, screenshot, or otherwise capture and distribute pages or portions of the Product.

4.2 No Distribution or Sharing

• You may not share, forward, email, upload, post, publish, or otherwise distribute the Product or any copy of it to anyone who is not an Authorized User, whether for free or for a fee.
• You may not make the Product available on any file-sharing platform, cloud storage service, intranet, website, or network accessible to anyone other than Authorized Users (e.g., a public or externally shared Google Drive, Dropbox, or SharePoint).
• You may not lend, rent, lease, or otherwise transfer access to the Product to any third party.

4.3 No Resale or Commercial Redistribution

• You may not resell, sublicense, or commercially distribute the Product or any portion of it.
• You may not incorporate the Product’s content — including text, templates, frameworks, or document structures — into any product, service, course, or training material that you sell, license, or distribute to others, whether for profit or otherwise.
• Consultants and training professionals may use the Product for their own learning and reference. However, they may not reproduce, adapt, or incorporate the Templates or content into client deliverables that are resold or presented as their own work without a separate written Commercial License from GlenView Group.

4.4 No Modification or Creation of Derivative Works for Distribution

• You may not create derivative works based on the Product for distribution, publication, or commercial use. This includes translating, adapting, condensing, expanding, repackaging, or rebranding the Product or its content.
• You may not remove, alter, or obscure any copyright notices, trademarks, proprietary notices, branding, or attribution statements within the Product.

4.5 No Unauthorized AI or Machine Learning Use

• You may not use the Product or its contents as training data for any artificial intelligence, machine learning, large language model, or automated system, whether commercial or non-commercial, without the express prior written consent of GlenView Group.

4.6 No Circumvention

• You may not circumvent, disable, tamper with, or otherwise interfere with any security features, access controls, download verification systems, or digital rights management measures associated with the Product or GlenView Group’s delivery platform.

5. Intellectual Property Rights and Copyright

5.1 Ownership

The Product, including all text, templates, frameworks, diagrams, appendices, graphics, trade dress, the Process Library, and any accompanying materials, is the exclusive intellectual property of GlenView Group, Inc. and is protected by United States copyright law, international copyright treaties (including the Berne Convention), and other applicable intellectual property laws.

Nothing in this Agreement transfers, conveys, or assigns to you any ownership interest, copyright, or other intellectual property right in or to the Product. The License granted herein is a limited right of use only.

5.2 ISBN and Publication Identification

The Product includes one or both of the following published works, depending on the License Tier you purchased:

Each ISBN uniquely identifies the corresponding edition of the Product and is registered in the international ISBN system. Use of either ISBN to misrepresent or claim ownership of the Product is prohibited.

5.3 U.S. Copyright Office Registration

GlenView Group has registered or intends to register the copyright in the Product with the United States Copyright Office pursuant to 17 U.S.C. § 408. Federal copyright registration provides GlenView Group with important legal remedies, including the ability to seek statutory damages and attorney’s fees in infringement actions.

5.4 Trademarks

“GlenView Group,” the GlenView Group logo, and “QMS Made Easy” are trademarks or service marks of GlenView Group, Inc. Nothing in this Agreement grants you any right to use GlenView Group’s trademarks, trade names, service marks, or logos without prior written permission.

5.5 ISO Standards Reference

References to ISO 9001:2026 and related ISO standards within the Product are made for educational and informational purposes. ISO standards are published by the International Organization for Standardization. GlenView Group is an independent consulting and training firm and is not affiliated with, endorsed by, or an official representative of ISO.

6. Multi-User, Multi-Site, and Commercial Licenses

The Book License covers a single Authorized User and a single download occasion. The Tool Kit License covers one Licensed Organization at one Licensed Site. Use beyond these limits — additional individuals under a Book License, or additional sites, affiliates, or client organizations under a Tool Kit License — requires a separate license. Using the Product beyond its licensed scope constitutes a material breach of this Agreement.

7. Refund Policy

7.1 General — Digital Product Nature

Because the Product is a digital resource delivered immediately upon purchase, all sales are final, as set out in Section 6 of the Terms of Sale. GlenView Group does not offer refunds after the Product has been accessed or a Download Event has been recorded, except as stated below and in the Terms of Sale. The guarantees in Section 3 of the Terms of Sale provide free guidance, not refunds.

7.2 Book License — No Refund After Confirmed Download

Once GlenView Group’s system records a successful download of the Book, the Product has been delivered and no refund will be issued. If you are uncertain whether the Book is right for you, review the free materials available at glenviewgroup.com before purchasing.

7.3 Tool Kit License — No Refund After Download

Once GlenView Group’s system records that any Tool Kit file has been downloaded, no refund will be issued. If you have not downloaded any Tool Kit files, contact us within 48 hours of purchase and we will consider your request on a case-by-case basis; this is at GlenView Group’s discretion and is not a guaranteed right to a refund.

7.4 Exception — Non-Delivery

If you did not receive the Product due to a verified technical failure on GlenView Group’s part, and our records do not show a successful account activation or Download Event, contact us within seven (7) calendar days of purchase at info@glenviewgroup.com. We will either re-deliver the Product or issue a full refund, at our discretion.

7.5 Defective Files

If a Product file you received is corrupted or unreadable, contact us within seven (7) calendar days of the Download Event and we will provide a replacement file at no charge (Section 3.6). This is not a refund — it is a file-integrity remedy.

8. Disclaimer of Warranties

8.1 No Guarantee of Certification

The Product is an educational and informational resource. GlenView Group does not guarantee that use of the Product will result in ISO 9001:2026 certification or any other certification. Certification is determined by an independent third-party certification body and depends on many factors specific to your organization. The Audit-Ready Documentation Guarantee in the Terms of Sale is GlenView Group’s commitment to provide free guidance to resolve covered documentation findings; it is not a guarantee of certification. For guided implementation, consider engaging GlenView Group’s consulting services directly.

8.2 Not Legal, Regulatory, or Professional Advice

The content of the Product is provided for informational and educational purposes only. It does not constitute legal, regulatory, tax, accounting, or professional consulting advice. You should consult qualified professional advisors for advice specific to your legal, regulatory, or business situation.

8.3 Accuracy of ISO Standard References

ISO standards are revised periodically. GlenView Group has made reasonable efforts to ensure the accuracy of ISO 9001:2026 references as of the publication date. You should verify the current requirements of any applicable ISO standard with the official ISO publication or your certification body. If you identify an ISO 9001:2026 requirement that the Book does not address, the Coverage Guarantee in Section 3.1 of the Terms of Sale applies.

9. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

The free guidance described in Section 3 of the Terms of Sale is your sole and exclusive remedy under the 100% guarantees.

10. Indemnification

You agree to indemnify, defend, and hold harmless GlenView Group, Inc. and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from or related to: (a) your use or misuse of the Product; (b) your violation of any term of this Agreement; (c) your infringement of any intellectual property or other right of any third party; or (d) any claim by a third party arising from your use of the Product or Templates.

11. Term and Termination

11.1 Term

This Agreement is effective upon your purchase and continues indefinitely unless terminated under Section 11.2. For the Tool Kit License, the twelve (12) month period applies to template updates only; your license to use files already downloaded continues after it ends.

11.2 Termination for Breach

GlenView Group may terminate this Agreement and your License immediately and without notice if you materially breach any term of this Agreement. Material breaches include, without limitation, unauthorized copying, redistribution, resale, sharing with unauthorized users, or commercial use of the Product.

11.3 Effect of Termination

Upon termination of this Agreement for any reason, you must immediately: (a) cease all use of the Product; (b) permanently delete all copies of the Product from all devices and storage media in your possession or control; and (c) certify in writing to GlenView Group upon request that you have done so.

11.4 Survival

The following sections survive termination: Section 5 (Intellectual Property Rights and Copyright), Section 8 (Disclaimer of Warranties), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 13 (Governing Law and Dispute Resolution), and any other provisions that by their nature should survive.

12. Product Updates and Agreement Revisions

12.1 Product Updates

Book License holders are not entitled to corrections or future editions after their one-time download right is fulfilled; a corrected or new edition may be purchased separately at returning-customer pricing, at GlenView Group’s discretion. Tool Kit License holders receive template updates released during the twelve (12) months following their purchase date; continued update access may be offered separately.

12.2 Agreement Revisions

GlenView Group may revise this Agreement at any time by posting an updated version at www.glenviewgroup.com. The version in effect at the time of your purchase applies to that purchase. Revisions are not retroactive to purchases already made, unless you accept the revised Agreement — for example, when you purchase an upgrade or a new Product.

13. Governing Law and Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.

13.2 Informal Resolution

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute informally. Either party may initiate informal dispute resolution by sending written notice to the other party describing the dispute. The parties shall have thirty (30) days from receipt of such notice to attempt to resolve the dispute.

13.3 Binding Arbitration

If the dispute cannot be resolved informally within 30 days, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties waive the right to a jury trial.

13.4 Class Action Waiver

To the fullest extent permitted by law, you waive the right to participate in any class action lawsuit or class-wide arbitration against GlenView Group, Inc.

13.5 Exception for Intellectual Property

Notwithstanding the arbitration provision above, GlenView Group reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights without delay and without the requirement to post bond.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with the Terms of Sale, constitutes the entire agreement between you and GlenView Group with respect to the Product and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof. The two documents are read together: in the event of a direct conflict, the Terms of Sale control on the sale transaction (price, payment, delivery, refunds, and guarantees), and this Agreement controls on license usage rights.

14.2 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver of any term of this Agreement shall be deemed a continuing waiver or waiver of any other term. GlenView Group’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under this Agreement without the prior written consent of GlenView Group. GlenView Group may freely assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.5 Force Majeure

GlenView Group shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, government action, pandemic, internet outages, platform failures, or other force majeure events. In such events, GlenView Group will make reasonable efforts to restore access or re-deliver the Product as promptly as practicable.

14.6 Contact Information
